Terms of sale

General terms and conditions applicable to Spavon subscriptions and paid services.

1. Scope and parties

These General Terms of Sale (GTS) govern all commercial relationships between Spavon (hereafter "Spavon") and any professional client — a legal entity or sole trader — (hereafter "the Client") subscribing to a paid plan or any other paid service offered by Spavon.

These GTS apply regardless of the Client’s country of establishment and take precedence over any general purchasing conditions of the Client, unless Spavon has expressly agreed otherwise in writing.

By subscribing to a plan or confirming an order, the Client accepts these GTS in their entirety.

2. Definitions

"Plan" refers to a subscription tier (Essential, Pro or Enterprise) that grants access to a defined set of Service features for a recurring fee.

"Branch" refers to a distinct physical location or business unit of the Client that is managed as a separate entity within the Spavon platform.

"Billing Period" refers to the monthly or annual period agreed upon at the time of subscription, for which the subscription fee is invoiced.

"Effective Date" refers to the date on which the Client’s subscription is activated following payment confirmation or at the start of a free trial period.

3. Plans and pricing

Available plans, their features and their prices are described on the Pricing page of spavon.com. Prices are expressed in Moroccan dirhams (MAD), exclusive of applicable taxes, and are billed per active branch per billing period.

A branch is considered active from the moment it is created in the platform, regardless of actual usage. The Client is responsible for deactivating branches that are no longer in operation to avoid continued billing.

Enterprise plan pricing is determined individually through a commercial proposal submitted by Spavon. The terms set out in the accepted proposal supplement or, where inconsistent, supersede these GTS for that Client.

Spavon reserves the right to modify its plans and prices. Any price change will be communicated to existing Clients at least thirty (30) days before taking effect and will apply from the start of the next billing period following the notice period.

4. Free trial

Spavon may offer a free trial period during which the Client can access all or part of the Service features without charge and without commitment to subscribe to a paid plan.

The duration of the free trial period, where offered, will be communicated at the time of account creation. At the end of the trial period, access to paid features will be suspended unless the Client has activated a paid plan.

Spavon reserves the right to modify, shorten or withdraw the free trial offer at any time without prior notice, except for Clients who have already started a trial period in progress.

Data created during the free trial period is preserved for thirty (30) days after expiry of the trial. After this period, the data may be permanently deleted if no paid plan has been activated.

5. Subscription and billing

Subscriptions are billed in advance at the start of each billing period (monthly or annual). An invoice will be issued electronically to the Client’s registered billing email address at each billing date.

For annual subscriptions, the full annual amount is invoiced at the start of the subscription year. Partial months are not refunded in the event of mid-year termination, except as provided in Article 9.

The number of active branches is assessed at the start of each billing period. Adding a branch during a billing period will result in a prorated charge for the remaining days of that period, invoiced at the next billing date.

All invoices must be paid in full within fifteen (15) calendar days of the invoice date, unless otherwise agreed in writing.

6. Payment methods

Spavon accepts payment by bank transfer, credit or debit card, or any other payment method communicated by Spavon at the time of subscription. Credit card payments are processed by a certified Payment Card Industry Data Security Standard (PCI DSS) compliant third-party payment processor.

Spavon does not store raw card numbers. The Client is responsible for keeping their payment details up to date within the platform.

In the event of a failed payment, Spavon will notify the Client and make two (2) additional payment attempts over the following seven (7) days. If payment remains unsuccessful after this period, Spavon may suspend access to the Service until payment is settled.

Late payment interest may be applied at the statutory rate in force in Morocco, plus a flat recovery fee of MAD 300, on any invoice not settled within fifteen (15) days of its due date.

7. Renewal and cancellation

Subscriptions renew automatically at the end of each billing period for the same duration, unless the Client cancels before the end of the current period.

Monthly subscriptions may be cancelled at any time with effect from the end of the current monthly billing period. No partial refund is issued for the current month.

Annual subscriptions may be cancelled with at least thirty (30) days’ written notice before the annual renewal date. If the notice is received after this deadline, the subscription will renew for a further annual period.

Cancellation must be requested in writing by the Account Administrator, either via the platform settings or by email to contact@spavon.com. Spavon will confirm the cancellation within two (2) business days.

8. Refund policy

As a general rule, subscription fees paid in advance are non-refundable. The Client is responsible for choosing the plan and billing period best suited to their needs.

By way of exception, a pro-rata refund of the unused portion of an annual subscription may be granted at Spavon’s sole discretion in the following circumstances: closure of the business with supporting documentation; material and persistent service failure attributable to Spavon that has been reported in writing and not remedied within fifteen (15) business days.

Refund requests must be submitted by email to contact@spavon.com within thirty (30) days of the event giving rise to the request. Approved refunds will be processed to the original payment method within fifteen (15) business days.

9. Warranties and liability

Spavon warrants that the Service will perform materially in accordance with its published documentation during the subscription term. In the event of a material non-conformance reported by the Client, Spavon’s sole obligation shall be to use commercially reasonable efforts to correct the non-conformance within a reasonable time.

Spavon’s liability for any claim arising under these GTS shall be limited to the total fees paid by the Client to Spavon during the twelve (12) months preceding the claim. Spavon shall not be liable for indirect, consequential or special damages, including loss of profit, loss of data or business interruption.

The Client is solely responsible for maintaining adequate back-ups of their data and for ensuring that the Service meets their specific operational requirements before committing to a subscription.

10. Force majeure

Neither party shall be liable for failure or delay in performing its obligations under these GTS if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, strikes, internet outages, or failures of third-party infrastructure providers.

The affected party must notify the other in writing as soon as practicable after the occurrence of a force-majeure event and use reasonable efforts to resume performance. If the force-majeure event continues for more than sixty (60) days, either party may terminate the subscription with a prorated refund of prepaid fees for the unused period.

11. Governing law and dispute resolution

These GTS are governed by the laws of the Kingdom of Morocco. Any dispute arising from or relating to these GTS or any order placed under them shall be submitted first to an amicable resolution process: the complaining party must send a written notice to contact@spavon.com, and both parties shall endeavour to reach a settlement within thirty (30) days.

If the dispute is not resolved amicably within thirty (30) days of the notice, it shall be submitted to the exclusive jurisdiction of the competent courts of Casablanca, Morocco, unless mandatory provisions of the law of the Client’s country of establishment require otherwise.
